FoundrSpace Membership Agreement 

This Membership Agreement (this “Agreement”) is made by and  between FoundrSpace and the person or entity signing hereto (sometimes referred to as “You”  herein), pursuant to which FoundrSpace will agree to provide certain “Services” (defined below) to  you subject to the Terms and Conditions (T&C) in this Agreement. FoundrSpace reserves the right  to update the T&C at any time without notice to you. Neither this Agreement nor any FoundrSpace  membership creates a tenancy, but rather a prepaid usage sublicense to use the provided amenities  on a month-to-month basis.

Description Of Services

Mailbox Memberships:

FoundrSpace will provide you with mail services, including receiving mail and packages on your behalf at your chosen FoundrSpace location. Mail and packages can be picked up during our office hours (Monday–Friday, 9 AM – 5 PM). This access excludes weekends and holidays.

The base membership rate covers mail receipt and pickup only. Additional services, such as regular mail scanning or forwarding, are available as add-ons and will incur additional fees. Any adjustments to the membership rate will be determined based on the agreed-upon services. 

This membership does not include access to a desk or workspace within the coworking area. However, mailbox members may purchase a day pass or reserve a meeting room to access the space as needed, subject to availability and applicable fees. 

Seat (9-5 Access) Memberships:

FoundrSpace will provide you with access to the coworking space during regular business hours, Monday through Friday from 9:00 AM to 5:00 PM at your chosen FoundrSpace location. This access excludes weekends and holidays, but special arrangements can be accommodated upon providing advanced notice to FoundrSpace staff.  

As part of this membership, you may utilize any available hot desk on a first-come, first-served basis. This membership does not include a dedicated desk or private office.

Seat (24/7 Access) Memberships:

FoundrSpace will provide you with 24/7 access to the coworking space at your chosen FoundrSpace location. This access includes weekends and holidays.

As part of this membership, you may utilize any available hot desk on a first-come, first-served basis. This membership does not include a dedicated desk or private office. 

Desk Memberships:

FoundrSpace will provide you with 24/7 access to the coworking space at your chosen FoundrSpace location.

As part of this membership, you are granted access to a dedicated desk, which will be reserved for your exclusive use. This membership does not include access to a private office.

Office Memberships:

FoundrSpace will provide you with 24/7 access to a private office within the coworking space at your chosen FoundrSpace location. 

As part of this membership, you are granted exclusive access to your private office, which will be reserved for your use. This membership does not include access to other desks or rooms within the coworking space, unless reserved separately. 

Membership benefits are exclusive to your selected FoundrSpace location. To access the same benefits at another FoundrSpace location, a separate membership is required.

Please note that certain private events held at the space may affect your access to the coworking space (see the "Events" section of this agreement).

In addition, you may have access to workstations, internet, office equipment, conference space, knowledge resources, and other services (collectively, "Services"), depending on your membership plan and applicable credits. The Services at all times are subject to the T&C.

Code of Conduct

At FoundrSpace, we strive to create a safe and inclusive environment where everyone feels respected and welcomed. We expect all visitors, members, and staff to adhere to our code of conduct while they are in our space.

  1. Respect Others: Treat everyone with respect and courtesy. Discrimination, harassment, or bullying of any kind will not be tolerated.

  2. Use Space Appropriately: Utilize the space and its resources responsibly. Misuse, damage, or disruption of the space is strictly prohibited.

  3. Be Conscious of Privacy: Respect the privacy of others and do not share or use their information without consent.

  4. Maintain Personal Hygiene: Members are expected to practice good personal hygiene to ensure a comfortable and professional environment for all.

  5. Respect the Law: Abide by all applicable laws and regulations, both inside and outside our coworking space.

  6. No Unacceptable Behavior: Refrain from any kind of objectionable conduct, including but not limited to profanity, incivility, threats, physical violence, or sexual harassment.

  7. No Sexual Activity on Premises: Engaging in any form of sexual activity within FoundrSpace is strictly prohibited. Violating this rule will result in immediate termination of membership with no refund.

  8. Report Incidents: If you witness or experience any violations of this code, please report them to management or staff.

FoundrSpace is committed to providing a safe and welcoming environment for all members and staff. We reserve the right to remove any visitor or member who does not comply with our code of conduct.

No Unlawful Or Prohibited Use 

You agree that you will not use the Services for any purpose that is unlawful, unethical, wasteful, unprofessional or prohibited by these terms and conditions. You may not use the Services in any manner that could damage, disable, overburden, or impair any portion of the co-working space including FoundrSpace’s server, or interfere with any other party’s use and enjoyment of any  Services. 

You may not attempt to gain unauthorized access to any Services, or accounts, computer  systems or networks connected to any FoundrSpace server or to any of the Services, through  hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services,  nor should you post or download files that you know or should know are illegal or that you have no  rights to. 

You hereby represent and warrant that you have all requisite legal power and authority to  enter into and abide by the terms and conditions of this T&C and no further authorization or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other  instrument or obligation to which you are a party. 

Use Of Services 

You agree that when participating in or using the Services, you will not:

  • Use the Services in connection with contests, pyramid schemes, chain letters, junk email,  spamming, spimming or any duplicative or unsolicited messages (commercial or otherwise).

  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of  privacy and publicity) of others. Foundrspace upholds a zero-tolerance philosophy for  harassment of any kind. Harassment means any objectionable conduct, comments or  display by a person that is directed at a worker; and is made on the basis of race, creed,  religion, colour, sex, sexual orientation, marital status, family status, disability, physical size  or weight, age, nationality, ancestry or place of origin, union activity or; is repeated  intentional, sexually oriented practice that undermines another member or employee's  health, job performance or workplace relationships or endangers a member or employee's  employment status or potential; or is repeated intentional, offensive comments and/or  actions deliberately designed to demean and belittle an individual and/or to cause personal  humiliation; or constitutes a threat to the health or safety of the worker. Examples of  harassment are: verbal abuse or threats, unwelcome remarks, jokes, innuendoes or taunting  about a person's body, attire, age, marital status, ethnic or national origin, religion, sexuality,  etc; displaying of pornographic, racist or other offensive or derogatory pictures, cartoons or  printed matter; practical jokes which cause awkwardness or embarrassment; unwelcome  invitations or requests, whether indirect, explicit or intimidating; leering or other gestures;  unnecessary physical contact such as touching, patting, pinching or punching; physical  assault; and bullying. 

  • Affix any type of stickers or signage inside or outside the premises, except within a rented private office or dedicated desk space.

  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory,  obscene, indecent or unlawful topic, name, material or information on or through  FoundrSpace servers.  

  • Use any material or information, including images or photographs, which are made available  through the services in any manner that infringes any copyright, trademark, patent, trade  secret, or other proprietary right of any party; Upload files that contain viruses, Trojan  Horses, Worms, time bombs, candlebots, corrupted files, or any other similar software or  programs that may damage the operation of another computer or property of another  coworker. 

  • Restrict or inhibit any other user from using and enjoying the Services. 

  • Violate any code of conduct or other guidelines which may be applicable for any particular  Service (including the rules of the owner of the building). 

  • Harvest or otherwise collect information about others, including email addresses, without the  authorization or consent of the disclosing party. 

  • Violate any applicable laws or regulations; or 

  • Create false identity for the purpose of misleading others. 

FoundrSpace reserves the right to refuse service to anyone for any reason, not limited to any items mentioned above. 

Renewals And Terminations 

This Agreement is month-to-month and shall automatically renew at the end of each period. The terms of this month-to-month membership can be terminated by FoundrSpace on at least thirty (30) days prior notice (email is sufficient) to you.

The T&C must be adhered to at all times. Failure to follow T&C can result in non-renewal or  even early termination of the usage license. FoundrSpace reserves the right to terminate this  Agreement and/or any Service at any time, immediately and without notice, if you fail to comply with this Agreement including the T&C. This includes non-payment or violation of the space rules to be provided by FoundrSpace from time to time. 

You may terminate this Agreement by giving a written notice of termination as established in this Agreement. Termination shall be effective as the thirtieth (30th) day following delivery of the  termination notice as required herein. Memberships are not prorated, and full payment for the final month is required regardless of the termination date. Should you not provide timely notice of termination to  FoundrSpace then the membership period shall continue to the end of the following calendar month  and the service fees for that calendar month shall be payable. 

Mailbox Memberships:

Any mail or packages received after the end of your membership period will be refused or returned to the sender. 

Desk Memberships:

All of your belongings must be completely removed and cleared out in order for your termination notice to be effective. Your desk must also be returned to substantially the same condition as when you moved in for your termination notice to be effective. Applicable charges will apply for any damages, repairs, and touch-ups required to return your desk to original condition and you consent to these expenses being added and charged to your final bill.  

Office Memberships:

All of your belongings must be completely removed and cleared out in order for your termination notice to be effective. Your office must also be returned to substantially the same condition as when you moved in for your termination notice to be effective. Applicable charges will apply for any damages, repairs, and touch-ups required to return your office to original condition and you consent to these expenses being added and charged to your final bill.  

Invoicing And Payment 

You will be automatically invoiced and charged in advance per month for your membership. This may also include any variable charges such as office rentals, private office rentals, guest passes, etc.  that may have been incurred during the previous period. Payment is required at the beginning of the month for that period, at the date specified in the invoice. Your membership renews automatically on the same date each month (e.g., if you are billed on January 7th, your next billing date will be February 7th). Payment for casual usage is either paid on the day of use unless other arrangements have been made with FoundrSpace.  

City Licensing & Compliance Responsibility

FoundrSpace provides coworking space and related services but does not assume responsibility for any business licensing, permits, or regulatory compliance required by local, state, or federal authorities. By signing this agreement, the Member acknowledges and agrees that:

  1. Independent Compliance – The Member is solely responsible for obtaining and maintaining any business licenses, permits, or regulatory approvals required to operate their business within FoundrSpace.

  2. No Liability – FoundrSpace explicitly waives any liability regarding city, state, or federal licensing requirements, fees, taxes, or penalties that may be imposed on the Member.

  3. Due Diligence – The Member is responsible for conducting their own due diligence and ensuring compliance with all applicable business regulations, tax codes, and licensing requirements.

  4. Indemnification – The Member agrees to indemnify and hold harmless FoundrSpace, its owners, employees, and affiliates from any claims, fines, penalties, or legal actions arising from the Member’s failure to obtain or maintain the necessary permits, licenses, or regulatory approvals.

By using FoundrSpace’s facilities and services, the Member acknowledges and accepts full responsibility for their business compliance and regulatory obligations.

FoundrSpace reserves the right at all times to disclose any information about your participation in and use of the Services as FoundrSpace deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in  whole or in part in FoundrSpace sole discretion. 

Rancho Cucamonga:

Members are responsible for acquiring their business licenses, as stated in The City of Rancho Cucamonga’s Code of Ordinances:

Section § 5.04.030 Licenses required; exceptions.

A. There are imposed upon the businesses, trades, professions, callings, and occupations set forth in this chapter license taxes in the amounts set forth in article II of this chapter. It shall be unlawful for any person to transact and carry on any business, trade, profession, calling, or occupation in the city with-out first having procured a license from the city so to do or without complying with any and all applicable provisions of this chapter.

Pasadena:

Members are responsible for acquiring their business licenses, as stated in The City of Pasadena’s Municipal Code:

Chapter 5.10 - LICENSE REGULATIONS

5.10.010 - Required when.

A.No person shall engage in any business for which a license is required without having taken out the proper license as prescribed in Chapters 5.04 through 5.16 and without complying with all regulations applicable to the business.

Office Privacy and Coverings

Members are prohibited from attaching any printed materials, stickers, or adhesive coverings to the windows without prior approval from FoundrSpace. Member offices must remain accessible to building management, maintenance personnel, and FoundrSpace staff for operational, safety, or maintenance purposes. If privacy is required, members have the following options:

Personal Curtains or Coverings: Members may purchase and install their own curtains or coverings. However, these must be approved by FoundrSpace management before installation to ensure they meet our aesthetic and safety standards.

Foundrspace Privacy Panels: Foundrspace offers the option to install privacy panels for a fee. Members interested in this option can reference the dedicated FoundrSpace app for pricing and installation details.

By adhering to these guidelines, we ensure a professional and cohesive appearance throughout the coworking space while respecting individual privacy needs.

Podcast Studio Use

The podcast studio is designated exclusively for podcast recording. Meetings, meetups, or any other non-podcast-related activities are prohibited. Unauthorized use of the space for these activities may result in additional charges or restricted access to the studio.

Events

From time to time, FoundrSpace will host community and private events at the space. Our team will make every effort to notify all members in advance of any upcoming events, both community and private. Events hosted at the location may vary in nature, including but not limited to networking mixers or quiet video shoots, which may require a reduced noise level. Accordingly, we ask that you exercise caution and avoid causing disturbances if you must pass through the event area.

During private events, certain areas of the coworking space may be unavailable for general use, depending on the location.

Rancho Cucamonga:

The coworking and event areas are within the same space. As such, depending on the event, the entire coworking area may be inaccessible to members. These events are handled on a case-by-case basis, but our team will ensure that you are notified in advance. If your membership tier includes access during these times and you still need to come in while an event is happening, arrangements can be made if FoundrSpace is notified in advance. Private office members will generally have access to their office as usual unless otherwise specified by FoundrSpace. However, all offices and desks will remain off-limits to event guests, regardless of member access permissions.

Pasadena:

This location features separate areas designated for coworking and events. In the event that an event is scheduled in the main coworking area, members will be provided with an alternative workspace. FoundrSpace will provide advance notice of any events taking place in communal spaces.

Guests and Visitors

Mailbox Memberships:

Guests are permitted to enter the space only if they have a valid day pass (one pass per guest) or meeting room reservation. As a member, you may use your credits to purchase a day pass or meeting room on behalf of your guest, allowing them to access the space independently. However, this does not grant you complimentary workspace access. Since your membership tier does not include desk or workspace privileges, you must also purchase a day pass if you wish to utilize the coworking space alongside your guest.

You and your guests must exit the location by 5pm, unless otherwise agreed upon between you and FoundrSpace. Any unauthorized guests found on the premises outside of the permitted times will be asked to leave immediately.

Access privileges associated with your membership (specifically, unlimited entries and exits from Monday to Friday, 9 AM – 5 PM) are granted solely to you and do not extend to any guests, visitors, family, or friends. You may bring guests only if they have a valid day pass (one pass per guest) or a meeting room reservation. Additionally, you may book a day pass or meeting room on behalf of your guest, using your credits. 

You and your guests must exit the location by 5pm, unless otherwise agreed upon between you and FoundrSpace. Any unauthorized guests found on the premises outside of the permitted times will be asked to leave immediately.

Access privileges associated with your membership (specifically, 24/7 access to a dedicated desk in the space) are granted solely to you and do not extend to any guests, visitors, family, or friends. You may bring guests only if they have a valid day pass (one pass per guest) or a meeting room reservation. Additionally, you may book a day pass or meeting room on behalf of your guest, using your credits. 

Guests must exit the location by 5pm, unless otherwise agreed upon between you and FoundrSpace. Any unauthorized guests found on the premises outside of the permitted times will be asked to leave immediately.

Office Memberships:

Access privileges associated with your membership (specifically, 24/7 access to a private office in the space) are granted solely to you and any authorized guests. You may bring guests into your private office, provided they follow all FoundrSpace policies. Otherwise, guests may only use the main coworking area if they have a valid day pass (one pass per guest) or a meeting room reservation. Additionally, you may book a day pass or meeting room on behalf of your guest, using your credits. 

Guests must exit the location by 5pm, unless otherwise agreed upon between you and FoundrSpace. Any unauthorized guests found on the premises outside of the permitted times will be asked to leave immediately.

To ensure a seamless experience, the front office must be notified in advance of any guest or visitor arrivals. FoundrSpace Coworking shall not be responsible for managing or handling guests brought by members unless notified. You are required to adhere to the standard guidelines and policies of FoundrSpace Coworking in relation to their guests and visitors.

Members are strictly prohibited from inviting or allowing any guests, visitors, or non-members on the premises who may pose a threat or risk to the safety or well-being of other members or staff. Any individual deemed dangerous or harmful will be asked to leave immediately, and appropriate actions may be taken by FoundrSpace Coworking as necessary.

Smoking and Vaping

FoundrSpace maintains a strict no-smoking and no-vaping policy within all buildings and facilities under its operation. This policy includes, but is not limited to, restrooms, hallways, and communal areas of the building. This measure is in place to ensure the safety and comfort of all members and visitors. It is crucial to note that the fire alarms in our building are incredibly sensitive. Even the slightest amount of smoke or vapor can trigger the fire alarms for the entire premises. Therefore, any incidents resulting from smoking or vaping within the building will be the responsibility of the member and their associates. This includes covering any fees imposed by the building management and/or the Pasadena Fire Department due to alarm activations caused by smoking or vaping. Your cooperation in adhering to this policy is greatly appreciated as it contributes to maintaining a secure and enjoyable environment for all members and guests at FoundrSpace.

Covid Compliance 

FoundrSpace and its staff will use all commercially reasonable efforts to keep the communal  space and facility as clean and Covid-compliant as possible based on local and state guidelines,  recommendations, and ordinances. We ask our community members to abide by all guidelines as  well and be diligent to ensure everyone’s safety. By entering our facility and utilizing our space and  amenities, you and your guests are voluntarily entering at your own risk, agree to indemnify, defend and hold harmless FoundrSpace (and the building owner and all affiliates) for any claim, allegation,  damage or risks associated with COVID.  

Confidentiality 

You acknowledge and agree that during your participation in and use of the Services you  may be exposed to Confidential Information. "Confidential Information" shall mean all information,  in whole or in part, that is disclosed by FoundrSpace or any participant of used of the Services or  any employee affiliate, or agent thereof, that is non-public, confidential or proprietary in nature.  Confidential information also includes, without limitation, information about business, sales,  operations, know-how, trade secrets, business affairs, any knowledge gained through examination  or observation of or access to the facilities, computer systems and/or books and records of  FoundrSpace, any analyses, compilations, studies or other documents prepared by FoundrSpace or  otherwise derived in any manner from the Confidential Information that you are obliged to keep  confidential or know or has reason to know should be treated as confidential. 

Your participation in and/or use of the Services obligates you to: 

• Maintain all Confidential Information in strict confidence; 

• Not to disclose Confidential Information to any third parties; 

• Not to sue the Confidential Information in any way directly or indirectly determined to FoundrSpace or any participant or user of the Services. 

All confidential information remains the sole and exclusive property of FoundrSpace or the  respective disclosing party. You acknowledge and agree that nothing in this T&C or your  participation or use of the Services will be construed as granting any rights to you, by license or  otherwise, in or to any Confidential Information or any patent, copyright or other intellectual  property proprietary rights of FoundrSpace or any participant or user of the Services. 

Participation In Or Use Of Services and Acknowledgement 

You acknowledge that you are participating in or using the Services at your own free will and  decision. You acknowledge that FoundrSpace does not have any liability with respect to your  access, participation in, use of the Services, or any loss of information resulting from such  participation or use. You further acknowledge that your Agreement is with FoundrSpace only, and  you have no privity of contract or any other relationship with the owner of the building or its  affiliates. In addition:  

Please take notice that, by entering into this Agreement, you are not becoming a tenant of the building and are not being granted an interest in real property, under applicable  law. Rather, you are a mere sublicensee of FoundrSpace (which has a limited revocable  license to use the co-working-space in which the Services are provided). This Agreement is  expressly subject to and subordinate to such revocable FoundrSpace license. In the event  FoundrSpace’s license is terminated, or if you breach this Agreement, your sublicense will  automatically terminate, and you must leave and not return to the facility and may be denied  entry to the facility, without the need for unlawful detainer/eviction proceedings having to  be brought against you in court. However, in the event such proceedings are brought against you, you agree that service of a summons and complaint and any other service of process  may be effectuated by certified mail to your space at the facility. 

Disclaimer Of Warranties 

To the maximum extent permitted by the applicable law, FoundrSpace provides the Services  “as is” and with all faults, and hereby disclaim with respect to the services all warranties and  conditions, whether express, implied or statutory, including but not limited to: merchantability,  fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results,  workmanlike effort and lack of negligence. Also there is no warranty, duty or condition of title, quiet  enjoyment, quiet possession, correspondence to description or non-infringement. The entire risk  as to the quality, or arising out of participation in or the use of the services, remains with you. 

Exclusion Of Incidental, Consequential And Certain Other Damages 

To the maximum extent permitted by the applicable law, in no event shall the building owner  or its affiliates or FoundrSpace or its subsidiaries (whether or not wholly-owned), affiliates,  divisions, and their past, present and future officers, agents, shareholders, members,  representatives, employees, successors and assigns, jointly and individually be liable for any direct,  special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but  not limited to damages for: loss of profits, loss of confidential or other information, business  interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of  reasonable care, negligence, and any other pecuniary or other loss whatsoever) arising out of or in  any way related to the participation in or inability to participate in or use of the services, the  provision of or failure to provide services, or otherwise under or in connection with any provision of  this agreement, even in the event of the fault, tort (including negligence), strict liability, breach of  contract or breach of warranty of FoundrSpace, and even if FoundrSpace has been advised of the  possibility of such damages. 

Limitation Of Liability And Remedies 

Notwithstanding any damages that you might incur for any reason whatsoever (including,  without limitation, all damages referenced above and all direct or general damages), the entire  liability of FoundrSpace or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and  their past, present and future officers, agents, shareholders, members, representatives, employees,  successors and assigns under any provision of this T&C and your exclusive remedy for all of the  foregoing shall be limited to actual damages incurred by you based on reasonable reliance up to $1,000,000. The foregoing limitations, exclusions and disclaimers, including the previous  sections) shall apply to the maximum extent permitted by applicable law, even if any remedy fails  its essential purpose. 

Non-Disparagement 

You shall, during and after the participation in and use of the Services, refrain from making  any statements or comments of a defamatory or disparaging nature to any third party regarding  FoundrSpace, or any of FoundrSpace officers, directors, employees, personnel, agents, policies,  services or products, other than to comply with law. 

Indemnification

You release, and hereby agree to indemnify, defend and save harmless the owner of the  building and its affiliates, and FoundrSpace and FoundrSpace subsidiaries (whether or not wholly owned), affiliates, divisions, and their past, present and future officers, agents, shareholders,  members, representatives, employees, successors and assigns, jointly and individually, from and  against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based  upon or arising out of your negligent actions, errors and omissions, willful misconduct and fraud in  connection with the participation in or use of the Services. You further agree in the event that you  bring a claim or lawsuit in violation of this agreement, you shall be liable for any attorney fees and  costs incurred by FoundrSpace or its respective officers and agents in connection with the defense  of such claim or lawsuit. 

Severability 

In the event that any provision or portion of this T&C is determined to be invalid, illegal or  unenforceable for any reason, in whole or in part, the remaining provisions of this T&C shall be  unaffected thereby and shall remain in full force and effect to the fullest extent permitted by  applicable law. 

Assignment 

You may not assign this Agreement without the prior written consent of FoundrSpace.  FoundrSpace may assign this Agreement to the building owner upon the written approval of or  written notice by the building owner.  

Insurance 

FoundrSpace carries Liability and Business Personal Property insurance. As a user, you are  not required but it is strongly suggested that you carry a Renters Insurance policy to cover your  own equipment while using our space. That policy may cover your current residence/office, as well  as the premises of FoundrSpace.
